The DTC partial chill arises from their desire for a warranty from a member(s), whom they serve, that the shares which the member would like to deposit, are validly issued. This is not a question that arises out of any finding about WNBD, but rather is a form of “good housekeeping” by an organization that handles so many transactions for so many brokers that systemic triggers occur. In our case, this request for confirmation arose from the fact that our O/S had increased by historical norms for the company. It was a precautionary request. That is why the chill is only partial, relating to deposits only. All other aspects of the DTC relationship to the stock is unchanged. Regardless, as a practical matter, even the partial has a domino effect.

We are determining which broker/dealer(s) who are served by the DTC will be willing to provide this confirmation/warranty.
